Welcome to DirectClients.com ("DirectClients," "we," "us," or "our"), operated by [Company Legal Name, e.g. DirectClients, Inc.], a [State] [corporation/LLC] ("Company"). These Terms of Service ("Terms") govern your access to and use of the DirectClients website, browser extension, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms.
You must be at least 18 years old and legally authorized to work in the United States (or otherwise legally eligible to apply for the roles you use the Service to pursue) to use DirectClients. At launch, the Service is focused on candidates located in our pilot regions (initially the East Coast and Midwest United States — see our site for current coverage) and job postings within the United States.
DirectClients is a job search and application platform that:
schema.org/JobPosting structured data published by employers. You're responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Provide accurate information when you register, and keep your profile and resume information current — the accuracy of what gets submitted through Apply Direct depends on it.
This section describes the specific mechanics of Apply Direct because they materially affect what you're authorizing us to do on your behalf.
5.1 Human-in-the-loop, always. When you click "Apply Direct" on a job, our AI agent (via the DirectClients browser extension) opens the real application on the employer's or its ATS provider's website and pre-fills fields it can map from your resume and profile, page by page. You review, may edit or delete, and must personally click "Next" and "Submit" on every page. DirectClients' systems do not and will not submit an application without that action from you. If a site blocks automated pre-filling (e.g., a CAPTCHA), the page opens with no pre-fill and you complete it manually, or you may use the extension-free "Guided Apply" mode instead.
5.2 You are responsible for what's submitted. Even though our AI assists in filling the form, you are the applicant, and you are responsible for reviewing every field for accuracy before you submit. DirectClients is not responsible for errors in an application that resulted from pre-filled content you did not correct before submitting.
5.3 Voluntary disclosure / EEO fields. Some applications include voluntary equal-employment-opportunity disclosure fields (e.g., race, gender, veteran or disability status). DirectClients will never pre-fill or submit these fields without your explicit, field-by-field opt-in.
5.4 Employer portal accounts created on your behalf. Some employer application portals (e.g., Workday-powered career sites) require creating a portal-specific account before an application can be started. By using Apply Direct on such a posting, you authorize DirectClients' AI agent to create an account on that portal using your name and email address and a unique, system-generated password. That credential is stored in your encrypted DirectClients vault, is never reused across sites, and is visible to you at any time in your account settings — you may view, edit, or delete it whenever you choose. Deleting a credential does not retroactively withdraw an application already submitted.
5.5 Email verification alias. To complete portal account verification on your behalf without requesting access to your personal email account, DirectClients issues you a unique forwarding address (e.g., you@apply.directclients.com) that forwards to your real inbox. Our system monitors this alias only for the purpose of completing portal verification and, where you've opted into the tracker feature, application-related correspondence (e.g., interview invitations). See our Privacy Policy for detail.
5.6 Guided Apply (no-extension option). If you don't wish to install the DirectClients browser extension, Guided Apply opens the real job posting for you alongside a reference panel of your information to copy into the form yourself. You are solely in control of that submission.
5.7 Job data accuracy. Job postings are sourced from third-party ATS feeds and employer-published structured data. DirectClients does not guarantee that a listing is accurate, current, or still open at the time you apply, and is not responsible for the hiring practices, content, or terms of any employer or third-party site you apply through.
The DirectClients browser extension is required for one-click Apply Direct and operates only on pages you navigate to as part of an Apply Direct session it initiated. It does not monitor or collect data from your general browsing outside of that context. See our Privacy Policy for the specific permissions it uses.
You agree not to: provide false information in your profile or resume with intent to deceive an employer; use the Service to submit fraudulent or duplicate applications at a volume intended to abuse or spam employers or the Service itself; attempt to circumvent the human-review step in Apply Direct; reverse-engineer, scrape, or interfere with the Service; or use the Service for any unlawful purpose.
The Service, including our software, the DirectClients name and brand, and our job-matching technology, is owned by the Company. You retain ownership of your resume, profile information, and any content you upload; you grant us a license to use it solely to provide the Service to you (matching, form-filling, AI-generated content, etc.).
The Service relies on third-party providers, including Supabase (database/storage), Anthropic (AI processing), Stripe (billing), Resend (email), and Cloudflare (security/DNS). Your use of the Service is also subject to those providers' applicable terms where relevant. DirectClients is not responsible for outages or issues originating from third-party providers or from employer/ATS websites outside our control.
DirectClients is a tool to help you find and apply to jobs more efficiently. We do not guarantee interviews, offers, or employment outcomes of any kind.
You may close your account at any time. We may suspend or terminate accounts that violate these Terms, including abusive use of Apply Direct or fraudulent application content. Upon termination, your data is handled per our Privacy Policy and data-retention practices.
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including accuracy of job listings, uninterrupted availability, or fitness for a particular purpose.
To the maximum extent permitted by law, DirectClients and its officers, employees, and affiliates are not liable for indirect, incidental, special, or consequential damages arising from your use of the Service, including any employer's decision not to hire you or any error in an application you personally submitted.
You agree to indemnify DirectClients against claims arising from your violation of these Terms, your misuse of the Service, or the accuracy of information you provided that was submitted through Apply Direct.
These Terms are governed by the laws of the State of [State — to be determined], without regard to conflict-of-law principles. [Arbitration clause / venue — to be finalized with counsel if desired.]
We may update these Terms from time to time. We'll notify active subscribers of material changes before they take effect.

Bracketed items require a founder/business decision (entity name, state, contact details) and, before public launch, we recommend a licensed attorney review — timing of that review is the founder's own call.
